Non Profit Joint Ventures

Broadly defined, a joint venture is a relationship that arises from an express or implied agreement between two or more parties to undertake some common objective for their mutual benefit. More narrowly defined, a joint venture is a separate legal entity formed by two or more parties to undertake economic activity together. The separate entity may be purposefully created as a partnership, limited liability company or corporation (either for-profit or nonprofit).

Nonprofit organizations may engage in joint ventures with other organizations, whether nonprofit or for-profit, with certain limitations. The primary limitations for a charitable nonprofit: (1) the operation of the joint venture must be consistent with the charity's operation primarily for exempt (e.g., charitable and educational) purposes; and (2) the operation of the joint venture must not result in any prohibited private benefit. The law with respect to these limitations has evolved with several seminal cases and IRS revenue rulings.

There is a trend toward nonprofits participating in joint ventures, this seminar goes over some of the basics, as well as some of the finer points.

     Panelist Biographies


    Susan Kostal

    Freelance Journalist

    Susan Kostal is a freelance journalist who has covered legal affairs for more than 20 years. She has been a reporter and editor at the Daily Journal, and done writing and editing for California Lawyer Magazine. Her work has also appeared in the ABA Journal, San Francisco Attorney Magazine, San Francisco Magazine, and the Palo Alto Weekly. She also served as the legal editor at Caring.com. She is the recipient of numerous awards for her writing, reporting, and editing. She assisted with the conception and reporting of "Innocence Lost," a San Francisco Magazine feature nominated for a National Magazine Award in 2004,and her piece, "The Brobeck Mutiny," won a Bronze Award for reporting from the City and Regional Magazine Awards in 2003. She has worked with ALM producing audio and video CLE roundtable programs since 2005.

    Cherie Evans is a partner with San Francisco's Evans & Rosen LLP. She counsels public charities, social clubs, private foundations and other groups on related tax and corporate issues. Previously, she practiced with Silk Adler & Colvin in San Francisco. In addition to a law degree from Pepperdine, she has an LLM in taxation, with honors, from Golden Gate University School of Law.

    Barbara Rosen is also a partner with Evans & Rosen LLP in San Francisco where she advises clients on tax issues affecting tax-exempt organizations and nonprofit corporate law. She advises charities, business leagues, and others on corporate governance and tax matters. She has experience resolving IRS disputes. Barbara earned her J.D. from UC Hastings College of the Law, where she served as Senior Editor of the Constitutional Law Review and worked with Professor Stephen Schwartz on his second edition of Nonprofit Organizations, Cases and Materials, a casebook used in law schools throughout the country. She received her Masters in Taxation from Golden Gate University in San Francisco. Barbara is a licensed California Certified Public Accountant and practiced as a tax accountant with a regional CPA firm prior to becoming an attorney. She is a frequent lecturer and has taught Legal Issues Affecting Nonprofit Organizations in the Masters of Nonprofit Administration program at the University of San Francisco. She will be teaching Nonprofit Law as an Adjunct Professor at UC Hastings College of the Law Spring Semester 2007. Barbara is active in the California Bar Association and currently serves on the Executive Committee of the Taxation Section of the Bar. She is past chair of the Taxation Section's Exempt Organizations Committee.


    Gene Takagi

    Gene Takagi of the Law Office of Gene Takagi in San Francisco. Prior to opening his own firm, Gene was with Sheppard Mullin Richter & Hampton, where he practiced corporate, finance and bankruptcy law. Gene has a master's degree in nonprofit administration from the University of San Francisco, and has held numerous nonlegal management positions in both the profit and nonprofit sectors. He is also the author of the Nonprofit Law Blog. Gene is involved in numerous bar and minority bar associations, and received the Outstanding Barrister Award for his pro bono work from the Bar Association of San Francisco.
